Our Committees

The Board accomplishes a lot of its work through its committees.  Pursuant to Article III of the HCHSAA By-Laws, HCHSAA has two types of committees – Committees of the Board (Section 3.01) and Committees of the Corporation (Section 3.02).  Committees of the Board may only be composed of directors, must have at least three directors and, except in certain circumstances, may be authorized to act on behalf of the Board.  As such, Committees of the Board must follow all rules and regulations applicable to the Board – such as providing proper notice of meetings, achieving a quorum to meet, and taking minutes of their meetings. Committees of the Corporation may be composed of members, as well as directors, and do not have the authority to act on behalf of the Board.

The provisions of Sections 3.01 and 3.02 of the HCHSAA By-Laws list certain Committees of the Board and Committees of the Corporation, respectively.  Pursuant to Section 3.03 of the HCHSAA By-Laws, the Board may also create additional Committees of the Board (by resolution adopted by a majority of the Entire Board) and Committees of the Corporation (by a resolution adopted by the Board).
